These Terms & Conditions (“Terms”) govern your access to and use of our website, digital platforms, and professional services. Tadeed operates in accordance with the Investment Law (Royal Decree No. M/19 of 2024) and all applicable commercial regulations of the Kingdom of Saudi Arabia.
2. Acceptance of Terms
By accessing or using our website or services, you:
• Confirm that you have read and understood these Terms.
• Represent that you have full legal capacity and authorization to enter into binding agreements.
• Accept that these Terms form a legally enforceable contract between you and Tadeed.
Tadeed reserves the right to update or modify these Terms at any time without prior notice.
Your continued use of our website or services following any modification constitutes acceptance of the revised Terms.
3. Scope of Services
Tadeed provides professional, technical, and business support services in compliance with its approved activities under Saudi investment regulations, including but not limited to:
• Business Setup & Investment Advisory – assistance with company formation, licensing, and registration in Saudi Arabia.
• Information Technology Services – IT consultancy, web and software development, cloud solutions, and technical support.
• Marketing & Branding Services – strategic marketing, digital campaigns, branding, and creative design.
• Business Support Services – documentation, outsourcing, translation, and administrative solutions.
• Organization and Management of Exhibitions and Conferences – planning, organizing, coordinating, and managing corporate events, exhibitions, conferences, and promotional activities.
Each service engagement is governed by a written quotation, proposal, or agreement specifying the deliverables, timelines, and fees.
Tadeed reserves the right to accept, suspend, or decline any project at its discretion, particularly in cases of non-payment, non-compliance, or conflict of interest.
4. Client Responsibilities
The Client agrees to:
• Provide accurate, complete, and up-to-date information and documents required for service execution.
• Respond promptly to communications, approvals, and document requests.
• Use Tadeed’s services, materials, and deliverables solely for lawful business purposes.
• Comply with all relevant Saudi laws, regulations, and administrative procedures.
Tadeed shall not be responsible for any delay, error, or regulatory rejection resulting from incomplete, inaccurate, or misleading information supplied by the Client.
5. Fees, Payments, and Refunds
• All service fees, payment terms, and deliverables will be defined in writing and agreed upon before work commences.
• Payments must be made according to the terms stated in the quotation or invoice.
• Fees are non-refundable once the service has commenced or deliverables have been produced.
• Prices are exclusive of government or third-party fees unless explicitly stated.
• Tadeed retains ownership of all deliverables until full payment is received.
Failure to pay invoices on time may result in the suspension or termination of services, and Tadeed reserves the right to pursue legal remedies for recovery of outstanding dues.
6. Ownership and Use of Materials
Tadeed Strategic Services LLC owns and controls all rights to its website, content, documents, templates, designs, and materials created during service delivery.
While Tadeed may not hold formally registered intellectual property, all materials produced under its brand or during client projects are protected under Saudi copyright and commercial law.
Clients are granted a limited, non-transferable right to use final deliverables solely for the intended business purpose outlined in the agreement.
Reproduction, modification, distribution, or resale of any Tadeed-created material without written consent is strictly prohibited.
Unauthorized use or misrepresentation of Tadeed’s content, documents, or brand identity may result in legal action.
7. Confidentiality and Data Protection
Tadeed treats all client information as confidential and handles it in accordance with the Saudi Personal Data Protection Law (PDPL) and other applicable privacy regulations.
Client information may be shared with relevant government authorities (e.g., MISA, Ministry of Commerce, ZATCA) only when necessary for compliance or service completion.
Tadeed employs reasonable security measures to protect client data but assumes no liability for unauthorized access resulting from third-party breaches, cyber incidents, or force majeure events.
8. Limitation of Liability
•Tadeed shall not be liable for any indirect, incidental, or consequential losses arising from your use of its website, services, or deliverables.
•All information, advice, and consultancy are provided in good faith and based on the latest available regulations but do not constitute legal advice.
•Tadeed’s total liability under any claim shall not exceed the total service fee paid by the Client for the specific project.
•Tadeed is not liable for government delays, rejections, or policy changes beyond its control.
9. Termination of Services
Tadeed reserves the right to terminate or suspend services immediately, without prior notice, if:
•The Client breaches these Terms or any signed agreement;
•The Client engages in unlawful, unethical, or defamatory conduct; or
•The Client fails to meet payment or cooperation obligations.
Upon termination, all unpaid amounts become immediately due and payable.
All work, drafts, or materials produced prior to payment remain the property of Tadeed until full settlement.
10. Website Use Policy
Users agree not to:
•Access or attempt to access restricted areas of the website without authorization;
•Copy, scrape, or reproduce any website content;
•Use the site for unlawful, misleading, or harmful activities.
Tadeed reserves the right to suspend or block access to any user violating these terms.
11. Indemnification
The Client agrees to indemnify and hold harmless Tadeed Strategic Services LLC, its directors, employees, and affiliates from any claims, damages, or expenses (including legal fees) arising from:
•Misuse of Tadeed’s services or website;
•Breach of these Terms; or
•Violation of Saudi or international laws while using Tadeed’s services or deliverables.
This indemnification obligation shall survive the termination of any agreement or these Terms.
12. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia.
Any disputes or legal proceedings shall be exclusively subject to the competent courts of Dammam, Saudi Arabia.
13. Force Majeure
Tadeed shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, cyber incidents, or changes in government policy or regulations.
